Terms of Service

2.1 Order Placement: All orders must be submitted via a formal Purchase Order (PO) or signed Proforma Invoice (PI). Orders are only considered confirmed upon receipt of the deposit payment.

3.1 Currency: All prices are quoted in USD (United States Dollar) unless otherwise stated.

3.2 Validity: Price quotes are valid for 15~30 days due to fluctuations in raw material costs and currency.

3.3 Standard Payment Terms:

• T/T (Telegraphic Transfer): 30% deposit upon order confirmation, 70% balance against copy of Bill of Lading (B/L).
• L/C (Letter of Credit): Irrevocable L/C at sight is accepted for orders exceeding $50,000 USD.

4.1 Lead Times:
Standard production lead time is 35-50 days after receipt of deposit & approval of PP (Pre-Production) samples & every detail confirmed. Peak season (August-October) orders may require longer time.

4.2 Sampling Process:
Rapid prototyping is available within 7 days. The Client must approve the PP sample in writing before bulk cutting begins. Any delays in sample approval will extend the final delivery date.

5.1 Incoterms: Unless otherwise agreed, standard terms are FOB Shanghai or FOB Ningbo. We can accommodate CIF, DDP, or Ex-Works requests upon providing a separate logistics quote.

5.2 Packaging: We utilize vacuum compression technology ("Stop Shipping Air") for bulky items like sofas, pillows, and comforters to maximize container efficiency. It is the Client's responsibility to verify if their local market has specific packaging labeling requirements (e.g., law labels, polybag warnings).

We adhere to the AQL 2.5 Standard (Acceptable Quality Limit) for finished goods.

Due to the custom nature of OEM/ODM manufacturing, we do not accept returns for non-defective goods.

Quality Claims: Any claims regarding quality defects or quantity discrepancies must be made in writing within 14 days of cargo arrival at the destination port. Claims must be supported by photographic or video evidence. Verified defects will be compensated via replacement in the next order or a credit note.

Client IP: Any designs, patterns, or tech packs provided by the Client remain the sole property of the Client. SnugSoft agrees not to sell, distribute, or display Client-exclusive designs to third parties without permission.

Manufacturer IP: For ODM products selected from our catalog, SnugSoft retains ownership of the underlying design and construction methods, granting the Client non-exclusive rights to sell the products in their territory.
